Cross-border transactions

Incor Alliance supports various cross-border transactions: M&A transactions, foreign trade transactions, transactions on real estate acquisition and other transactions, which are executed and performed in the territory of several states. While supporting transactions, specialists of the company carry out: Incor Alliance supports various cross-border transactions: M&A transactions, foreign trade transactions, transactions on real estate acquisition and other transactions, which are executed and performed in the territory of several states. While supporting transactions, specialists of the company carry out:

• negotiating processes for the transaction;
• legal and financial Due Diligence of the transaction’s subject matter;
• optimum structuring of the transaction and preparation of all of the necessary legal documents for the transaction;
• preparation of the necessary shareholders agreements in the exercise of an M&A transaction;
• legal support for the closing of the transaction and organizational support of settlements.

1. Acquisition of the shares of a number of Ukrainian gas distribution enterprises in the interest of GAZEKS-HOLDING; negotiating, structuring and transactional closing in Ukraine, preparation of shareholders agreements subject to foreign law.
2. Acquisition of gold and ore deposits by the English company Eurasia Mining in the Chelyabinsk region; carrying out Due Diligence, participation in negotiations, building of a transaction structure.
3. Acquisition of the Tula newspaper "Sloboda" by Austrian-German media holding WAZ Mediengruppe, creation of the joint Austrian-Russian enterprise for the expansion of business in more than 49 regions of Russia; participation in the negotiating process, preparation of shareholders agreement subject to Austrian law, structuring and closing of the transaction in the territories of Austria and Russia.
4. Legal maintenance of a number of foreign trade transactions for a Russian metallurgical holding.
